Welcome to Greenhaus. By purchasing from us, whether online, in-store, via quotation, email, WhatsApp, or any other sales channel, you agree to the following Terms and Conditions, which govern all transactions between Greenhaus and the Customer.

These Terms and Conditions are intended to provide clarity regarding our products, services, manufacturing processes, warranties, deliveries, and responsibilities between Greenhaus and the Customer.

1. Definitions

For purposes of these Terms and Conditions:

1.1. “Company”, “Greenhaus”, “We”, “Us”, or “Our” refers to Woodworks Furnishings (Pty) Ltd trading as Greenhaus.

1.2. “Customer”, “You”, or “Your” refers to any individual, company, trust, or entity purchasing products or services from Greenhaus.

1.3. “Standard Products” refers to ready-to-ship or non-customised products supplied by Greenhaus or sourced from trusted suppliers.

1.4. “Custom Products” or “Custom Furniture” refers to furniture or products manufactured, modified, upholstered, finished, resized, or customised according to customer requirements.

1.5. “Quote” refers to any written quotation, invoice, estimate, or proposal issued by Greenhaus.

1.6. “Order” refers to any confirmed purchase accepted by Greenhaus.

1.7. “Lead Time” refers to the estimated manufacturing or supply period provided at the time of quoting.

1.8. “Delivery” refers to transport, delivery, installation, or collection of goods.

1.9. “Business Days” refers to weekdays excluding weekends and South African public holidays.

1.10. “Warranty” refers to the limited warranty provided by Greenhaus subject to these Terms and Conditions.

1.11. “Natural Timber Characteristics” refers to inherent variations and movement associated with solid wood and natural timber products.

2. Customer Responsibilities

2.1. Customers are responsible for ensuring that all information supplied to Greenhaus is accurate, including measurements, finishes, fabric selections, delivery addresses, and contact information.

2.2. Customers are responsible for reviewing and approving all quotations, specifications, drawings, dimensions, finishes, and details before confirming orders.

2.3. Once technical drawings, specifications, finishes, or dimensions have been approved by the Customer, any subsequent changes may result in additional charges and revised lead times.

2.4. Customers are responsible for ensuring that all delivery and installation areas are safe, accessible, and suitable for the products ordered.

2.5. Customers must advise Greenhaus in advance of any delivery restrictions, including but not limited to:

·        narrow staircases

·        small doorways

·        lifts

·        estate restrictions

·        access limitations

·        difficult driveways

·        upper-floor deliveries

·        parking limitations

 

2.6. Additional charges may apply for complicated, delayed, failed, or extended deliveries.

2.7. Customers are responsible for inspecting all products immediately upon delivery or collection.

2.8. Any shortages, damages, defects, or discrepancies must be reported in writing within 7 days of delivery or collection.

2.9. Customers are responsible for following all care and maintenance instructions provided by Greenhaus.

2.10. Failure to follow care instructions or exposing products to unsuitable environmental conditions may void warranty claims.

3. Products & Services

3.1. Greenhaus manufactures, supplies, upholsters, refurbishes, and sells furniture and décor products for residential and commercial applications.

3.2. Products may include:

·        custom furniture

·        ready-to-ship furniture

·        lighting

·        rugs

·        mirrors

·        décor

·        wallpaper

  • curtains
  • blinds
  • outdoor furniture
  • upholstery
  • related interior products

3.3. All products are subject to availability.

3.4. Greenhaus reserves the right to discontinue, modify, or update products, finishes, materials, dimensions, or suppliers without prior notice.

3.5. Ready-to-ship products supplied by third-party suppliers may vary slightly from showroom samples or website images.

3.6. Product images are for illustrative purposes only.

3.7. Natural materials, timber grain, fabric dye lots, leather, lighting conditions, screens, photography, handcrafted finishes, and manufacturing processes may result in slight variations in:

·        colour

·        texture

·        grain

·        tone

·        scale

·        stitching

·        finish

·        appearance

 

Such variations are considered normal and do not constitute defects.

4. Orders & Acceptance

4.1. Orders are considered accepted only once payment has been received and cleared in Greenhaus’ bank account.

4.2. Payment of any invoice or quotation constitutes acceptance of:

·        the quotation

·        specifications

·        lead times

·        these Terms and Conditions

 

4.3. Greenhaus reserves the right to refuse or cancel orders at its discretion.

4.4. Ready-to-ship products purchased in-store are sold as viewed.

4.5. Customers are responsible for inspecting showroom items before purchase.

4.6. Custom products are manufactured according to customer-approved specifications and are considered bespoke or made-to-order items.

4.7. Once any payment has been received for a custom order, whether a deposit or full payment, the order shall be deemed confirmed and may not thereafter be cancelled, refunded, returned, or exchanged, except where required in terms of the Consumer Protection Act.

4.8. In the event of cancellation by the Customer after commencement of production or procurement, Greenhaus reserves the right to retain all deposits paid and to claim any outstanding amounts, costs, materials, labour, storage, administrative expenses, or losses incurred relating to the order.

This includes, but is not limited to, cancellations arising from:

·        customer change of mind;

·        dissatisfaction with aesthetic preference after approval;

·        natural timber variation, grain variation, knots, markings, or tonal differences;

·        variations between showroom samples, website imagery, and natural materials;

·        environmental movement caused by sunlight, humidity, temperature fluctuations, air conditioning, heating, or climate conditions;

·        natural timber movement, expansion, contraction, splitting, checking, or warping;

·        delays outside of Greenhaus’ reasonable control.

 

4.9. Finished custom products may vary slightly from initial concepts, renders, samples, or drawings while remaining suitable for their intended purpose.

4.10. Timber grain, natural markings, stitching, upholstery tension, and handcrafted details may vary from sample imagery.

5. Pricing & Payment

5.1. All pricing is subject to change without prior notice.

5.2. Quotes are valid for the period stated on the quotation.

5.3. Full payment is required before release, collection, dispatch, or delivery of ready-to-ship products unless otherwise agreed in writing.

5.4. Custom furniture orders generally require a deposit before production commences.

5.5. Outstanding balances must be paid in full prior to delivery or collection.

5.6. Greenhaus accepts EFT payments and other approved payment methods.

5.7. Credit card surcharges or transaction fees may apply.

5.8. Banking fees for international payments are for the Customer’s account.

5.9. Greenhaus reserves the right to suspend manufacturing, delivery, or release of products in the event of late or non-payment.

5.10. Customers shall be liable for all legal costs, collection fees, tracing fees, and recovery expenses incurred by Greenhaus arising from non-payment.

5.11. Ownership of goods remains vested in Greenhaus until full payment has cleared.

6. Manufacturing & Lead Times

6.1. All lead times provided are estimates only.

6.2. Lead times commence only once:

·        deposits have cleared

·        specifications are approved

·        all required information has been received

 

6.3. Manufacturing and supply lead times may be affected by:

·        supplier delays

·        material shortages

·        weather

·        transport disruptions

·        public holidays

·        power outages

·        labour disruptions

·        force majeure events

 

6.4. Greenhaus shall not be liable for delays outside of its reasonable control.

6.5. Urgent orders may attract surcharge fees.

6.6. Delays caused by Customers may result in revised pricing and lead times.

7. Delivery & Installation

7.1. Delivery dates are estimates only and are not guaranteed.

7.2. Deliveries are subject to transport routes, courier schedules, weather, estate access, and logistical constraints.

7.3. Delivery is deemed complete once:

·        products are delivered to site

·        signed for

·        installed

·        collected

·        or otherwise accepted by the Customer or appointed representative

 

7.4. Risk in the goods passes to the Customer upon delivery or collection.

7.5. Customers must inspect all products immediately upon receipt.

7.6. Any delivery shortages, defects, damages, or concerns must be reported within 7 days.

7.7. Greenhaus does not accept liability for transit damage caused by third-party couriers once goods have left our premises.

7.8. Customers requesting courier deliveries acknowledge the inherent risks associated with third-party transport.

7.9. Delivery pricing assumes reasonable ground-floor access unless otherwise specified.

7.10. Additional charges may apply for:

·        stair carries

·        upper-floor deliveries

·        long carry distances

·        difficult access

·        waiting times

·        failed deliveries

·        estate delays

·        assembly requirements

·        furniture moving

 

7.11. Customers are responsible for ensuring products will fit through:

·        doorways

·        passages

·        lifts

·        staircases

·        entrances

 

7.12. Greenhaus accepts no liability where products cannot be installed due to site restrictions not disclosed beforehand.

7.13. Greenhaus is not liable for damage to walls, paintwork, floors, ceilings, staircases, driveways, or premises where reasonable care has been exercised during delivery.

7.14. Customers must disclose any concealed electrical wiring, plumbing, or structural risks before installations commence.

7.15. Storage fees may apply where Customers delay collection or delivery.

8. Returns, Refunds & Exchanges

8.1 Standard / Ready-to-Ship Products

The following terms apply to ready-to-ship or standard products purchased in-store, online, or through Greenhaus sales channels.

8.1.1   Ready-to-ship products purchased in-store are sold as viewed and inspected by the Customer at the time of purchase.

8.1.2  Greenhaus does not offer refunds for correctly supplied, non-defective ready-to-ship products.

8.1.3   Exchanges for standard products may be considered at Greenhaus’ sole discretion, subject to:

·        return within 7 days;

·        products being unused and in original condition;

·        original packaging where applicable;

·        proof of purchase being supplied.

 

8.1.4  Collection, delivery, courier, handling, and restocking costs relating to approved exchanges are for the Customer’s account.

8.1.5  Online purchases may be subject to applicable cooling-off rights in terms of the Consumer Protection Act where applicable.

8.2 Custom Products

8.2.1   Custom products are manufactured specifically to Customer-approved specifications and are considered bespoke or made-to-order items.

8.2.2   Custom products may not be cancelled, refunded, returned, or exchanged once payment has been received, except where required in terms of the Consumer Protection Act.

8.2.3   Natural timber variation, handcrafted finishes, environmental movement, and characteristics disclosed in these Terms and Conditions do not constitute grounds for refund, cancellation, or exchange.

8.3 Defective Products

8.3.1  Products believed to be defective must be reported to Greenhaus in writing within 7 days of delivery or collection.

8.3.2  Greenhaus reserves the right to inspect, assess, repair, replace, or refer products for supplier assessment prior to approving any refund or replacement.

8.3.3  Products damaged through misuse, improper care, environmental exposure, negligence, or normal wear and tear shall not qualify for refund or warranty claims.

9. Natural Solid Wood Characteristics

9.1. Solid wood is a natural material and each piece of timber contains unique characteristics including:

·        grain variation

·        colour variation

·        knots

·        texture variation

·        natural markings

·        mineral streaks

·        tonal differences

These are natural features of timber and not defects.

9.2. Solid timber naturally responds to environmental conditions including changes in:

·        humidity

·        moisture

·        temperature

·        sunlight exposure

·        air conditioning

·        seasonal climate conditions

 

9.3. Expansion and contraction of timber may occur over time.

9.4. Natural timber movement may result in:

·        hairline cracks

·        surface checking

·        splitting

·        slight warping

·        bowing

·        movement at joins

·        small gaps

·        tonal changes

·        changes in texture or appearance

 

9.5. These characteristics are natural properties of timber and do not constitute manufacturing defects where the product was fit for purpose when supplied.

9.6. Timber movement may be more pronounced when products are relocated between differing climate regions, including movement between:

·        humid coastal environments

·        dry inland environments

·        air-conditioned interiors

·        heated spaces

·        sun-exposed areas

9.7. Relocation of timber furniture from coastal regions such as KwaZulu-Natal to drier inland regions such as Gauteng or the Highveld may increase the likelihood of cracking, shrinkage, movement, or splitting.

              

9.8. Fine hairline cracks, surface checking, colour changes, minor movement, and natural ageing are accepted characteristics of solid timber furniture.

9.9. Exact matching of timber grain, colour, texture, or tone cannot be guaranteed.

10. Furniture Care & Environmental Conditions

10.1. Customers are responsible for caring for products appropriately.

10.2. Furniture should not be exposed to excessive:

·        sunlight

·        heat

·        moisture

·        humidity

·        rain

·        dampness

·        air-conditioning drafts

  • temperature fluctuations

10.3. Indoor furniture should not be used outdoors unless specifically manufactured for outdoor use.

10.4. Outdoor furniture should be protected with suitable weatherproof covers when not in use.

10.5. Timber furniture should not be positioned directly against high-heat glass, fireplaces, heaters, or continuously sun-exposed windows.

10.6. Customers are encouraged to use suitable curtains, blinds, glazing, UV protection, or shading systems to assist in regulating interior temperatures.

10.7. Liquids should never be allowed to remain on timber surfaces.

10.8. Spills should be cleaned immediately using a soft damp cloth.

10.9. Customers should avoid harsh cleaning chemicals including ammonia-based or silicone-based cleaning products.

10.10. Hot dishes, pots, cookware, and heated objects should not be placed directly onto timber surfaces.

10.11. Furniture should be positioned on level surfaces.

10.12. Furniture should only be used for its intended purpose.

10.13. Failure to follow Greenhaus care instructions may void warranty claims.

11. Warranty

11.1. Greenhaus provides a limited 6-month warranty covering defects in workmanship and materials under normal residential indoor use.

11.2. The warranty excludes:

·        normal wear and tear

·        misuse

·        abuse

·        neglect

·        accidental damage

·        environmental damage

·        water damage

·        pet damage

·        commercial misuse

·        improper cleaning

·        sun damage

·        timber movement

·        cosmetic changes

·        fading

·        natural timber variation

 

11.3. Fine hairline cracks, checking, movement, colour variation, and minor warping are natural timber characteristics and are not covered under warranty.

11.4. Structural failures affecting the functionality or safety of furniture may qualify for warranty assessment where caused by manufacturing defects.

11.5. Upholstery softening, feather settlement, foam settlement, leather creasing, fabric movement, and natural material ageing are normal characteristics and not defects.

11.6. Warranty claims may be rejected where products have been:

·        modified

·        repaired by third parties

·        improperly used

·        improperly stored

·        exposed to unsuitable environmental conditions

 

11.7. Greenhaus reserves the right to repair, replace, or credit products at its discretion.

11.8. Warranty claims do not include transport, courier, installation, or handling costs unless otherwise agreed.

12. Product Images, Marketing & Website Content

12.1. Product images, renders, room settings, and marketing materials are for illustrative purposes only.

12.2. Colours may appear differently due to:

·        lighting

·        photography

·        screen settings

·        monitor calibration

·        printing variations

 

12.3. Greenhaus does not guarantee exact colour matching between:

·        samples

·        website imagery

·        showroom displays

·        final products

 

12.4. Greenhaus reserves the right to correct pricing, descriptions, specifications, and errors appearing on the website or marketing materials.

12.5. Availability displayed online is subject to supplier confirmation and stock availability.

13. Limitation of Liability

13.1. Greenhaus shall not be liable for indirect, incidental, consequential, or special damages.

13.2. Greenhaus’ liability shall not exceed the purchase price of the product in question.

13.3. Greenhaus shall not be liable for:

·        delays

·        loss of profits

·        inconvenience

·        contractor costs

·        accommodation costs

·        installation delays

·        project delays

·        consequential damages

 

13.4. Customers indemnify Greenhaus against claims arising from misuse, improper care, environmental exposure, or installation restrictions.

14. Force Majeure

14.1. Greenhaus shall not be liable for delays or failure to perform arising from events beyond its reasonable control.

14.2. Such events may include:

·        natural disasters

·        strikes

·        supplier failures

·        transport disruptions

·        riots

·        load shedding

·        governmental restrictions

·        pandemics

·        labour disruptions

·        material shortages

 

15. Website Use & Intellectual Property

15.1. All content appearing on the Greenhaus website, social media platforms, catalogues, and marketing materials remains the intellectual property of Greenhaus.

15.2. No images, designs, content, text, or materials may be copied, reproduced, or distributed without written permission.

15.3. Use of the Greenhaus website is at the user’s own risk.

15.4. Greenhaus does not guarantee uninterrupted website availability or error-free website functionality.

16. Governing Law & Dispute Resolution

16.1. These Terms and Conditions shall be governed by the laws of the Republic of South Africa.

16.2. Any disputes arising shall first be addressed through reasonable negotiation between the parties.

16.3. Should disputes remain unresolved, the matter shall be subject to the jurisdiction of South African courts.
