Terms and Conditions

Welcome to Greenhaus. By purchasing from us, either in-store or online, you agree to the following Terms and Conditions, which govern all transactions made with Greenhaus (Woodworks Furnishings Pty Ltd). Please read them carefully.


1. Definitions

For the purposes of these Terms and Conditions:

  1. “Company” / “We” / “Us” / “Our” – Refers to Woodworks Furnishings Pty Ltd, trading as Greenhaus.
  2. “Customer” / “You” / “Your” – Refers to any individual or entity purchasing or placing an order with Greenhaus.
  3. “Standard Products” – Off-the-shelf products produced to a consistent specification and not customised (sold in-store or online).
  4. “Custom Products” / “Custom Orders” – Items made or altered to meet specific customer requirements.
  5. “Quote” – A formal offer outlining product details, pricing, and lead times.
  6. “Order” – A confirmed request for goods or services accepted by Greenhaus.
  7. “Payment” – The transfer of funds to Greenhaus for an order.
  8. “Lead Time” – The estimated time to manufacture or prepare goods for delivery or collection.
  9. “Delivery” – The process of transporting and handing over goods to the Customer.
  10. “Risk of Loss” – The point at which responsibility for goods passes to the Customer.
  11. “Defective Product” – A product with material or manufacturing faults, excluding natural variations.
  12. “Force Majeure” – Events beyond our control preventing or delaying fulfilment.
  13. “Warranty” – A limited 6-month coverage for material and workmanship defects under normal use.
  14. “Invoice” – A formal payment request detailing purchases and amounts due.
  15. “Business Days” – Any day other than a weekend or public holiday in South Africa.

2. Customer Responsibilities

By transacting with Greenhaus, you agree to:

  • Accuracy of Information: Provide complete and correct details when placing orders, including delivery address and specifications.
  • Review and Approval: For custom orders, review and approve all drawings/specifications. Post-approval changes may incur costs.
  • Payment Obligations: Full payment must clear before goods are released.
  • Delivery and Access: Ensure safe, accessible delivery areas. Extra charges apply for estates, stairs, or restricted access.
  • Property Protection: Protect your premises during delivery/installation. We are not liable for pre-existing issues or undisclosed risks.
  • Inspection: Inspect products on delivery/collection and report issues within 7 days. Silence = acceptance.
  • Product Use and Care: Follow our care guidelines. Misuse or unsuitable conditions may void warranty.
  • Communication: Respond promptly to order or delivery queries.
  • Legal Compliance: Ensure compliance with estate rules, building regulations, or laws that affect installation.

3. Products and Services

We manufacture and sell both standard products (off-the-shelf, in-store and online) and custom products (made to order). Availability may change, and products may be modified or discontinued without notice.


4. Order Process

  • Acceptance: Orders are accepted once payment clears in our account. Payment confirms acceptance of the Quote and these Terms.
  • Standard Products:
    • In-store: Sold as-is and final. Customers must inspect before leaving.
    • Online: Orders confirmed via emailed quote and payment. Cancellations/changes must be requested in writing and may not be possible once processing begins.
  • Custom Products:
    • Once payment clears, drawings may be provided (if necessary) for approval. After approval, changes incur additional costs.
    • Finished items may vary slightly from design; this does not make them unsuitable under Section 55 of the CPA.
    • Cancellations: Non-cancellable, non-refundable, and non-exchangeable once a deposit is paid. Deposits are strictly non-refundable.

5. Pricing and Payment

  • Prices: Exclude shipping and banking fees unless otherwise stated.
  • Payment Methods:
    • Standard products: Cash, card, gift voucher, Zapper, EFT.
    • Custom products: EFT only. Payments via card or cash for custom products attract a 3% surcharge.
    • International payments: Customer pays all bank fees. Allow 48 hours for clearance.
  • Late Payment:
    • No goods released until payment clears.
    • Interest and recovery costs may apply under the Prescribed Rate of Interest Act.
    • Directors/members signing on behalf of juristic persons bind themselves as sureties and co-debtors.
  • Ownership: Title passes only once payment clears.

6. Manufacturing & Lead Times

  • Lead times vary by product category.
  • Custom product timelines begin only after payment clears.
  • Delays may occur due to Force Majeure or supplier issues.
  • Customer-caused delays may result in price adjustments.
  • Urgent orders may be accepted subject to a surcharge.

7. Shipping and Delivery

  • Risk & Title: Risk passes on delivery/collection (signed POD). Ownership passes once payment clears.
  • Inspection:
    • Standard products: Inspect on delivery. If damaged, do not accept. If unable to inspect, sign “UNCHECKED” and report issues within 12 hours.
    • Custom products: Delivered/installed as per order. Not returnable for change of mind. Defects handled under CPA.
  • Storage: Goods not collected/delivered within 2 weeks of completion may be sold to defray costs.
  • Delivery Service: We arrange delivery but are not liable for third-party transit damage.
  • Rates & Conditions: Assumes ground-floor, unobstructed access. Estates (e.g., Zimbali) may incur surcharges. Additional site work incurs extra charges.
  • Installation: Customers must disclose hidden wiring/plumbing. We cannot accept liability for undisclosed hazards.

8. Returns, Refunds & Exchanges

  • Standard Products:
    • No refunds for correctly supplied, non-defective goods.
    • Exchanges may be allowed within 7 days at our discretion, for equal/greater value, with proof of purchase.
    • Exception: As required by law (e.g., ECTA 7-day cooling-off period for online sales – see Clause 16).
  • Custom Products: Not returnable except if defective.
  • Defective Goods: Must be reported immediately. Remedies (repair, replace, refund) follow CPA.

9. Warranty

  • In line with Section 56 of the CPA, all products carry a 6-month warranty against defects in materials and workmanship.
  • Excludes: natural wood variations (cracks <3mm, movement, colour changes), misuse, neglect, or environmental exposure.
  • Indoor furniture is not covered for outdoor use.
  • Warranty void if modified or repaired by anyone other than Greenhaus.

10. Limitation of Liability

  • We are not liable for indirect, incidental, or consequential damages.
  • Liability is capped at the purchase price of the product.

11. Governing Law

These Terms are governed by South African law.


12. Dispute Resolution

  • Negotiation & Mediation: First attempt resolution through negotiation, then mediation (within 10 business days).
  • Arbitration / Courts: If unresolved, disputes may go to AFSA arbitration or a competent South African court.
  • Costs: Each party bears its own costs unless otherwise determined.

13. Force Majeure

We are not liable for delays or failures caused by events beyond our control (e.g., natural disasters, strikes, government action).


14. Intellectual Property

All content, designs, and images remain the property of Greenhaus and may not be reproduced without written consent.


15. Data Privacy (POPIA)

  • We collect and use personal information to process orders and deliveries.
  • Data shared only as required (e.g., couriers, suppliers) or by law.
  • We safeguard customer data with reasonable measures.
  • Customers may request access, correction, or deletion via info@greenhaus.co.za.

16. Consumer Rights Notice

  • These Terms uphold the Consumer Protection Act (CPA) and Electronic Communications & Transactions Act (ECTA).
  • Cooling-off Period: For online standard goods, you may cancel within 7 days (Section 44 of ECTA), provided goods are unused, in original packaging, and saleable.
  • Defective Goods: Section 55 of CPA applies — goods must be of good quality, durable, and fit for purpose.
  • Written in plain language in line with Section 22 of CPA.
