Terms & Conditions of Sale

Welcome to Greenhaus. By purchasing from us, either in-store or online, you agree to the following Terms and Conditions, which govern all transactions with Woodworks Furnishings Pty Ltd (“Greenhaus”). Please read them carefully.

1. Definitions

For purposes of these Terms and Conditions:

• “Company / We / Us / Our” means Woodworks Furnishings Pty Ltd trading as Greenhaus.
• “Customer / You / Your” means any person or entity purchasing goods or services from Greenhaus.
• “Standard Products” means off-the-shelf products not customised.
• “Custom Products / Custom Orders” means items made or altered to Customer specifications.
• “Quote” means a formal written offer detailing product scope, pricing, and lead times.
• “Order” means a confirmed request accepted by Greenhaus.
• “Invoice” means a formal request for payment.
• “Lead Time” means estimated manufacturing or preparation time.
• “Delivery” means transfer of goods to the Customer or appointed agent.
• “Risk of Loss” means the point at which responsibility transfers to the Customer.
• “Defective Product” means material or manufacturing faults excluding natural characteristics.
• “Force Majeure” means events beyond reasonable control.
• “Business Days” means weekdays excluding South African public holidays.

2. Customer Responsibilities

The Customer agrees to:

2.1 Provide accurate contact, delivery, and specification information.
2.2 Review and approve all drawings and specifications prior to manufacture.
2.3 Ensure full payment prior to release or delivery.
2.4 Provide safe access for delivery and installation.
2.5 Protect premises during installation.
2.6 Inspect goods upon delivery or collection and report issues within 7 days.
2.7 Follow care and placement guidelines. Environmental conditions materially affect solid wood products.
2.8 Communicate timeously regarding changes or delays.
2.9 Comply with estate rules, regulations, and applicable laws.

3. Products and Services

Greenhaus manufactures and supplies furniture and décor for residential and commercial use.

• Standard Products are sold as-is.
• Custom Products are manufactured to Customer specifications and may vary slightly without affecting intended use.

Availability is subject to change without notice.

4. Orders

Orders are deemed accepted once payment has cleared.

Standard Products

• In-store purchases are final and sold as inspected.
• Online purchases require full payment prior to processing.

Delivery times are estimates only.

Custom Products

• Customers are responsible for confirming all specifications.
• Technical drawings may be issued for approval.
• Changes after approval incur additional charges.
• Custom orders may not be cancelled or refunded once placed.

5. Pricing and Payment

5.1 Payment Terms

• Standard Products: Full payment before release.
• Custom Products: EFT only unless otherwise agreed. Card or cash payments incur 3% surcharge.
• International banking charges are for the Customer.

No goods will be released until cleared funds reflect.

5.2 Retention of Ownership

All goods remain property of Greenhaus until paid in full.

Greenhaus may repossess unpaid goods without notice. Risk passes on delivery; ownership only upon full payment.

5.3 Default

Upon non-payment:

• All outstanding balances become immediately payable.
• Discounts may be withdrawn.
• Work and delivery may be suspended.
• Goods may be repossessed.

5.4 Interest

Interest accrues on overdue accounts at the maximum lawful rate.

5.5 Legal and Collection Costs

The Customer is liable for all recovery costs including:

• Attorney-client legal fees
• Collection fees
• Tracing and sheriff costs
• Administrative charges

5.6 Suspension of Services

No further services will be provided while any amount remains outstanding.

5.7 Surety (Juristic Persons)

Signatories for companies or trusts bind themselves personally as surety and co-principal debtor.

6. Manufacturing & Lead Times

Lead times are estimates. Delays may occur beyond Greenhaus’ control.

Customer-caused delays may result in repricing.

Urgent orders incur surcharges.

7. Delivery & Storage

• Delivery is deemed complete upon signed receipt or installation.
• Claims must be made within 7 days.
• Greenhaus accepts no liability for transit damage once goods leave premises.
• Storage is not provided. Goods uncollected after 14 days may be sold to recover costs.
• Delivery assumes ground-floor access unless disclosed.
• Installation requires clear access. Hidden hazards must be disclosed.

A company certificate of indebtedness shall constitute prima facie proof of debt.

8. Returns & Exchanges

No refunds on correctly supplied goods.

Standard products may be exchanged (at Greenhaus’ discretion) within 7 days if unused and in original packaging.

Custom products are non-returnable unless defective.

Defective claims are subject to supplier assessment.

9. Natural Solid Wood Characteristics

Solid wood naturally varies in grain and colour and responds to climate changes.

Expansion, contraction, surface checking, or hairline cracking does not constitute defects.

10. Warranty

Greenhaus provides a 6-month warranty on workmanship and materials under normal indoor use.

Natural wood movement, cosmetic variations, misuse, environmental exposure, or unauthorised repairs are excluded.

11. Limitation of Liability

Greenhaus is not liable for indirect or consequential damages. Liability is limited to purchase price.

12. Governing Law

These Terms are governed by South African law.

13. Dispute Resolution

Parties shall attempt amicable resolution before legal proceedings.

14. Modifications

Greenhaus may amend these Terms at any time. Continued use constitutes acceptance.

15. Force Majeure

Greenhaus is not liable for delays caused by events beyond reasonable control.

16. Intellectual Property

All content remains property of Greenhaus and may not be reproduced without consent.
